These Terms of Service ("Terms") govern your access to and use of the D2 Financial client portal and related services (collectively, the "Services") operated by D2 Financial ("we," "us," or "our"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, do not use our Services.

1. Description of Services

D2 Financial provides a secure client portal for the management and exchange of financial documents and communications between clients and our professional staff. Services include:

• Secure document upload, storage, and retrieval
• Invoice viewing and management
• Notifications for document processing and account updates
• Keyword document search

The Services are a supplement to, not a replacement for, professional tax and accounting advice provided by D2 Financial professionals.

2. Account Registration and Approval

Access to the portal requires registration and explicit administrator approval. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain the security and confidentiality of your login credentials
• Notify us immediately of any unauthorized access to your account
• Not share your account credentials with any third party
• Accept that account access may be revoked at any time at our discretion

We reserve the right to refuse registration or revoke access to any user at our sole discretion.

3. Acceptable Use

You agree to use the Services only for lawful purposes and in accordance with these Terms. You must not:

• Upload files containing malware, viruses, or malicious code
• Attempt to gain unauthorized access to any part of the Services or systems
• Interfere with or disrupt the integrity or performance of the Services
• Use the Services to store or transmit content that is unlawful, fraudulent, or harmful
• Impersonate any person or entity or misrepresent your affiliation
• Attempt to reverse engineer, decompile, or circumvent any security measures
• Use automated scripts or bots to access or interact with the Services

4. Your Content

You retain ownership of all documents and content you upload to the Services ("Your Content"). By uploading content, you grant D2 Financial a limited, non-exclusive license to store, process, and display Your Content solely to provide the Services to you.

You represent and warrant that:

• You own or have the right to upload Your Content
• Your Content does not violate any applicable law or regulation
• Your Content does not infringe any third-party intellectual property rights

We may process uploaded documents using automated tools (including OCR and AI-assisted search) to provide portal features. This processing does not constitute review or validation of the accuracy of your financial information.

5. Professional Services Disclaimer

The portal is a tool for document management and communication. It does not constitute the provision of tax, legal, accounting, or financial advice. Any professional advice is provided separately under a distinct engagement agreement with D2 Financial.

Document processing features (OCR, search) are provided for convenience only. We do not warrant the accuracy or completeness of automated document processing results.

6. Intellectual Property

The Services, including all software, design, text, graphics, and other content (excluding Your Content), are owned by D2 Financial and are protected by copyright, trademark, and other applicable laws. You may not copy, modify, distribute, or create derivative works of any part of the Services without our prior written consent.

7. Privacy

Your use of the Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Services, you consent to the data practices described in our Privacy Policy.

8. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, D2 FINANCIAL DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Services will be uninterrupted, error-free, or free of viruses or other harmful components.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, D2 FINANCIAL SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOSS OF REVENUE, OR BUSINESS INTERRUPTION, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE THREE MONTHS PRECEDING THE CLAIM.

10. Termination

We may suspend or terminate your access to the Services at any time, with or without notice, for any reason, including violation of these Terms. Upon termination:

• Your right to access the Services will immediately cease
• We may retain or delete Your Content in accordance with our data retention policies
• Provisions of these Terms that by their nature should survive termination will remain in effect

11. Changes to These Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by updating the "Last updated" date at the top of this page. Continued use of the Services after changes become effective constitutes your acceptance of the revised Terms.

12. Governing Law

These Terms are governed by the laws of the State of Washington, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in King County, Washington.
